Terms of Service
1. Who we are
These terms are between you and Sladjan Drazic. Contact: info@startixit.com. References to “we”, “us”, or “StartixIT” mean Sladjan Drazic.
2. What the service is
We design and build a custom business website for you at no upfront cost. After launch, we provide hosting, maintenance, and support for a monthly fee. The service includes things like backups, security updates, and small edits (e.g. text changes, image swaps, link updates). Larger changes (new pages, new features, redesigns) are quoted separately.
3. Price and payment
Upfront: $0 USD. Ongoing: $100 USD per month, payable in advance (e.g. monthly). Prices are in US dollars. Payment terms (method, due date) will be agreed when we confirm your project. You must pay on time; we may suspend the service if payment is overdue.
4. When the contract starts
No contract is formed until both parties confirm their agreement in writing, including by email or other written communication. Submitting an enquiry through this website, contact form, or email does not by itself create a contract.
5. Minimum commitment and duration
There is a minimum commitment of 3 months of monthly service from the start date we agree. After that, either side can end the service with notice (see Termination). You may stay with us for as long as you like. After 12 months, you may transfer the website to another provider and receive full access to move it elsewhere; we will cooperate to allow the transfer.
6. Termination
After the minimum 3 months, either party may end the service by giving written notice (e.g. by email). We may end the service immediately if you breach these terms or fail to pay. When the service ends, we will (subject to payment of any amounts due) provide you with access to your website files and data so you can move them only after you have been with us for at least 12 months, as set out in section 5 above.
7. Limitation of liability
To the fullest extent permitted by law, our total liability to you for any claim arising from or related to the service shall not exceed the total amount you have paid us in the 12 months before the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages (including loss of profit, data, or business). These limits apply even if we have been advised of the possibility of such damages. Nothing in these terms excludes or limits liability that cannot be excluded or limited by law.
8. Intellectual property
You receive full rights to the custom website we create for you (content and design specific to your project) only after you have been with us for at least 12 months, at which point those rights transfer to you (including when you move the site elsewhere, as set out in section 5). Until then, you have the right to use the website for your business for as long as the service is active. We may retain rights in our own tools, templates, and methods.
9. Changes to the service or terms
We may change the scope of the service (e.g. add or change features) with reasonable notice. We may change these terms with reasonable notice; continued use of the service after the change takes effect means you accept the new terms. If a change materially disadvantages you, you may end the service by giving us written notice (e.g. by email).
10. Governing law and disputes
We may bring proceedings in the country or state where you reside or have assets, at our choice. If you are a consumer in a jurisdiction that gives you mandatory rights or a right to bring claims in your home country, those rights remain unaffected.
11. General
If any part of these terms is held invalid, the rest remains in effect. Our failure to enforce a right does not waive that right. These terms (together with any written project or quote we agree) are the entire agreement between you and us regarding the service. You are responsible for complying with your local laws.
